1. About Us and These Terms
1.1 InflataForge supplies commercial inflatables, play equipment, interactive inflatables and associated accessories, including stock products, pre-orders and custom-built equipment.
1.2 These terms primarily govern sales to businesses, professional operators and commercial hirers purchasing equipment for business use.
1.3 Customers ordering for business purposes confirm that they are authorised to place the order on behalf of the named business.
1.4 Any individual legally purchasing as a consumer retains all applicable statutory rights. Nothing in these terms excludes or restricts those rights.
1.5 These terms, the written quotation, approved product specification, accepted order confirmation and our Warranty Policy together form the contract. Individually agreed written terms take precedence where they conflict with these standard terms.
2. Orders and Contract Formation
2.1 Website listings and quotations invite customers to place orders and do not themselves guarantee availability or constitute an accepted contract.
2.2 An order becomes binding when InflataForge issues written acceptance or an order confirmation.
2.3 We may decline an order where the product cannot reasonably be supplied, the specifications are unsuitable, payment cannot be verified or the requested transaction cannot lawfully proceed.
2.4 If payment has been received for an order that we decline before acceptance, it will be refunded in full without undue delay.
2.5 Each accepted order will identify the product, agreed specifications, quantity, price, payment schedule, delivery arrangements and estimated lead time.
3. Prices and Payments
3.1 Prices are confirmed in writing before an order is accepted. VAT status, any applicable taxes, delivery charges and other compulsory charges will be disclosed before payment.
3.2 Unless otherwise agreed in writing:
- A 50% deposit is payable upon order acceptance.
- The remaining 50% balance is payable when the goods are ready for dispatch and before release.
- Goods will not be dispatched until the agreed cleared payment has been received.
3.3 The deposit contributes towards the agreed purchase price. It is not an additional charge.
3.4 For pre-orders and custom-built equipment, the deposit authorises us to commit to the agreed manufacturing and procurement arrangements.
3.5 Prices cannot be increased after order acceptance without the customer's agreement, except where a specific lawful adjustment mechanism was expressly agreed before the order.
3.6 Where a business customer fails to pay an agreed outstanding balance, we may suspend dispatch and issue written notice requesting payment. If the breach remains unresolved after 14 calendar days, we may terminate the order and seek recovery of reasonable losses arising from the breach, subject to applicable law.
3.7 Statutory interest and recovery costs may apply to qualifying overdue commercial debts under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Products and Specifications
4.1 Customers must review all confirmed details carefully, including dimensions, layout, colours, artwork, materials, attachments, accessories, power requirements and intended use.
4.2 Product photographs, digital images and illustrations are indicative. Minor non-material variations in colour or appearance may arise from displays, photographic lighting and manufacturing processes.
4.3 We will not materially change an accepted product's functionality, agreed dimensions, safety features or essential specification without the customer's consent.
4.4 Custom designs or branding proofs must be approved in writing before manufacture. Customers are responsible for identifying errors visible in those proofs that have been specifically submitted for approval.
4.5 Approval does not remove our responsibility for manufacturing defects, departures from approved specifications or applicable safety requirements.
4.6 Any subsequent change requested by the customer may affect the price and delivery schedule. Changes become binding only once confirmed in writing.
5. Manufacturing and Lead Times
5.1 Products may be described as In Stock, Pre-Order or Custom Build.
5.2 Pre-order and custom-built products may be manufactured or sourced internationally.
5.3 Estimated production and delivery dates will be provided with the quotation or order confirmation.
5.4 Unless expressly agreed otherwise, production lead times begin after receipt of the required deposit and final written approval of all necessary specifications and artwork.
5.5 Estimated dates are not guaranteed delivery dates. Manufacturing, shipping, customs clearance and transport may affect delivery.
5.6 We will notify customers of material delays and provide updated information as reasonably available.
5.7 Where a firm delivery deadline is essential, including for an event or commercial launch, it must be disclosed and expressly accepted in writing before order confirmation.
5.8 If a material delay exceeds 60 days beyond an agreed estimated delivery period and no reasonable alternative delivery arrangement is agreed, the business customer may cancel the undelivered goods and receive repayment of amounts paid for those goods.
5.9 Nothing in this section limits mandatory consumer delivery rights or remedies for breach of contract.
6. Delivery, Customs and Risk
6.1 Delivery arrangements, destination, charges and any applicable import responsibilities will be specified before order acceptance.
6.2 Where an order expressly states that delivery is inclusive of import duties and customs charges, the customer will not be charged additional undisclosed amounts for those items.
6.3 Customers must provide complete, accurate delivery information and disclose any relevant access restrictions.
6.4 Where we arrange transport, risk of accidental loss or transit damage remains with us until the goods are delivered to the agreed recipient or destination, unless a different lawful business-to-business arrangement has been expressly agreed.
6.5 Where a business buyer independently arranges its own carrier, transfer of risk will follow the delivery arrangement expressly agreed in the contract.
6.6 Legal ownership remains with InflataForge until the full purchase price is paid, to the extent permitted by law.
6.7 Where delivery fails due to incorrect customer information or an unjustified refusal to accept conforming goods, reasonable additional delivery or storage costs may be charged after notice to the customer.
7. Inspection and Reporting Problems
7.1 Customers should inspect delivered equipment and packaging as soon as reasonably practicable.
7.2 We recommend that commercial customers safely inflate and inspect the product within 7 calendar days of delivery, following the manufacturer's instructions and using suitable conditions.
7.3 Visible damage, missing items, incorrect products or suspected faults should be reported promptly with photographs and the order reference.
7.4 Reporting a problem outside the recommended inspection period does not automatically invalidate a legitimate claim, including for hidden manufacturing defects.
7.5 Equipment suspected of having a safety-critical defect must not be operated until assessed and confirmed safe.
7.6 Signing a delivery receipt confirms receipt only and does not waive rights concerning defects or incorrect goods.
8. Cancellation and Deposits — Trade Orders
8.1 Confirmed business orders do not carry an automatic change-of-mind cancellation right.
8.2 A customer requesting cancellation must notify InflataForge in writing.
8.3 If cancellation is agreed before manufacture or procurement commitments begin, we will refund payments less any reasonable, evidenced and recoverable costs already incurred.
8.4 After manufacture or procurement commitments begin, a cancellation may result in charges representing reasonable, demonstrable losses directly arising from the cancellation, including committed manufacturing costs and any recoverable loss of profit, after reasonable efforts to reduce those losses.
8.5 The 50% deposit is not automatically forfeited. The amount retained or otherwise recoverable will depend on the contract, stage of production, committed expenditure and applicable law.
8.6 We will provide a reasonable explanation of any cancellation deductions and return any balance properly due.
8.7 If InflataForge is unable to supply an accepted order or materially breaches its obligations, the customer's legal remedies remain available. We will not retain payment for goods we fail to supply merely by describing it as a non-refundable deposit.
9. Trade Returns and Incorrect Goods
9.1 Correctly supplied goods purchased for business use are not automatically returnable because the purchaser changes their mind.
9.2 Any discretionary trade return must be agreed in writing before equipment is sent back.
9.3 Approved discretionary returns may be subject to reasonable return carriage, inspection and restocking costs clearly agreed before the return is accepted.
9.4 Custom-manufactured or personalised trade products will not normally be accepted for discretionary change-of-mind returns.
9.5 Where goods are defective, materially incorrect or otherwise in breach of contract, we will assess the matter and provide the remedy required by the contract and applicable law.
9.6 Customers must obtain return instructions before arranging freight. Do not send equipment to our correspondence address without authorisation.
10. Warranty
10.1 Our standard commercial inflatable warranty is 12 months from delivery, as described in the separate InflataForge Warranty Policy.
10.2 The warranty covers qualifying manufacturing defects in the specified equipment under normal intended commercial use.
10.3 Exclusions, claims procedures and warranty remedies are detailed in the separate Warranty Policy.
10.4 The express warranty is additional to, and does not replace, rights that cannot legally be excluded.
11. Installation, Inspection and Safe Operation
11.1 Commercial inflatables must be installed, anchored, inspected, supervised, maintained and operated in accordance with the applicable operating instructions, safety information and legal requirements.
11.2 The purchaser is responsible for ensuring that its chosen venue, surface, electrical supply, weather conditions and operating arrangements are suitable.
11.3 The purchaser must ensure that all legally required initial tests, ongoing inspections, annual examinations and competent-person checks are completed before use and throughout the equipment's working life.
11.4 InflataForge remains responsible for its own applicable legal obligations as seller, manufacturer or importer, including product conformity, required documentation and product safety. These obligations are not transferred to the buyer merely by these terms.
11.5 Any advertised safety certification, compliance marking or independent inspection status must be supported by the appropriate evidence and expressly identified in the product documentation.
11.6 Equipment must not be used beyond its stated capacity, user restrictions, anchorage requirements, wind limitations or intended purpose.
11.7 Customers must stop using equipment immediately if they identify a condition that could compromise safety.
12. Custom Artwork and Intellectual Property
12.1 Customers providing logos, designs, characters, artwork or branding confirm that they have the required rights or permission for the requested use.
12.2 Customers grant InflataForge permission to use submitted artwork solely as necessary to fulfil the order.
12.3 Customers are responsible for third-party intellectual property claims arising from artwork they supplied without the required rights, except to the extent caused by our own actions or breach.
12.4 Website content, original photographs, product descriptions and InflataForge branding may not be reproduced without permission, except where permitted by law.
13. Liability — Business Customers
13.1 Nothing in these terms excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded or limited.
13.2 We do not guarantee a customer's future hire income, event bookings, commercial profitability or suitability for an undisclosed specialist purpose.
13.3 To the extent permitted by law, we are not responsible for indirect or consequential business losses, including lost hire income, lost opportunities or business interruption, arising from circumstances for which such liability may lawfully be excluded.
13.4 Subject to clause 13.1, and only insofar as reasonable and enforceable under applicable law, our aggregate contractual liability to a business customer arising from an affected order will not exceed the total price paid or payable for the affected goods.
13.5 Any limitation under this section is subject to the Unfair Contract Terms Act 1977 and other applicable law. It does not prevent the customer exercising rights or obtaining remedies that cannot lawfully be restricted.
13.6 Nothing in these terms removes our responsibility to supply goods that meet contractual specifications and applicable safety requirements.
14. Circumstances Beyond Reasonable Control
14.1 Neither party is responsible for delay caused by events genuinely beyond its reasonable control, except for obligations that remain enforceable by law, including payment obligations already due.
14.2 We will take reasonable steps to minimise disruption and notify affected customers promptly.
14.3 If such circumstances prevent delivery for an extended period and no reasonable alternative is agreed, either party may terminate the undelivered portion of the order, with appropriate repayment of sums relating to goods not supplied.
14.4 This clause does not remove statutory consumer remedies or permit InflataForge to retain payments unfairly.
15. Complaints and Disputes
15.1 Customers should contact InflataForge in writing, providing their order reference and a description of the problem.
15.2 We will investigate complaints fairly and request relevant supporting evidence where appropriate.
15.3 Both parties agree to attempt reasonable resolution before pursuing formal proceedings, without restricting urgent legal remedies or statutory rights.
16. Consumer Purchases
16.1 InflataForge is primarily a trade supplier. However, where a customer legally qualifies as a consumer, consumer protection legislation takes precedence over any inconsistent term.
16.2 For qualifying distance purchases of standard goods, consumers normally have 14 days after delivery to notify us of cancellation without giving a reason, followed by 14 days to return the goods.
16.3 Goods genuinely manufactured to the consumer's individual specifications or clearly personalised may be exempt from that change-of-mind cancellation right. Merely being ordered from a factory or manufactured after purchase does not, by itself, necessarily make an item bespoke.
16.4 Where the statutory cancellation right applies, we will refund eligible payments, including standard outbound delivery charges, within the period required by law. Any lawful deduction for handling beyond what is necessary to inspect the goods may apply.
16.5 Direct return costs for a valid change-of-mind cancellation are payable by the consumer only where the law permits and the relevant information was supplied before purchase. For bulky goods that cannot normally be posted, applicable return-cost information must be disclosed before ordering.
16.6 Consumers retain their rights to remedies for faulty, unsafe, incorrectly described or non-conforming products under the Consumer Rights Act 2015.
16.7 Consumers may notify cancellation using a clear written statement or the following form:
Cancellation notice To: InflataForge Email: [Confirm customer-service email before publication] I hereby give notice that I cancel my contract for the following goods:
- Order number:
- Goods ordered:
- Date received:
- Customer name:
- Customer address:
- Date:
16.8 Nothing in these terms reduces any mandatory consumer protection.
17. Personal Information
Customer information is processed for quotations, order administration, manufacture, delivery, payment administration and after-sales support, in accordance with applicable UK data protection law and our separate Privacy Policy.
18. General Provisions
18.1 If any provision is held unenforceable, the remaining provisions continue to apply to the extent legally possible.
18.2 A failure or delay in enforcing a contractual right does not automatically waive that right.
18.3 Changes to these standard terms apply to future orders unless an existing customer expressly agrees otherwise.
18.4 Contracts are governed by the law of England and Wales, subject to any mandatory protections applying to consumer purchasers or other jurisdictions.
18.5 Disputes between business parties are subject to the courts of England and Wales, except where applicable law requires otherwise.
